Terms of Service

These terms are an agreement between Riceball AI Pte. Ltd. (UEN: 202619532H), a private company limited by shares incorporated in Singapore on 3 May 2026, with registered office at 21 Lorong 28 Geylang, #04-02 Edenz Suites, Singapore 398425 (referred to as "Riceball," "we," "us") — and you, the person or business signing up for an account ("you").

By creating an account or using Riceball, you agree to these terms. If you do not agree, do not use the service.

Riceball is a software-as-a-service that helps small businesses in Singapore manage customer conversations on WhatsApp and Instagram. It includes AI-assisted replies, booking management, customer records, reminders, and related features. The exact feature set may change over time as we improve the product.

Riceball is a tool, not a substitute for human judgment. You remain responsible for what is sent from your business's WhatsApp number, including AI-generated messages.

You must provide accurate information when creating an account, and keep it updated. You are responsible for keeping your password secure and for all activity under your account.

You must be at least 18 years old and authorized to bind your business to these terms.

Riceball is offered as a paid subscription with a free trial period. The current pricing is shown on our pricing page. Subscriptions renew automatically each month or year (depending on the plan you choose) until cancelled.

Cancellation takes effect at the end of the current billing period. We do not provide pro-rated refunds for partial months.

WhatsApp conversation fees charged by Meta are not part of your Riceball subscription. Those are billed by Meta directly to the WhatsApp Business Account you connect.

You agree NOT to use Riceball to:

• Send spam or unsolicited messages
• Send messages that violate Singapore law or WhatsApp Business policies
• Impersonate another person or business
• Send misleading, fraudulent, or harmful content
• Resell, sublicense, or otherwise commercially exploit access to Riceball without our written agreement
• Reverse-engineer, scrape, or attempt to extract source code from the service
• Test the service's rate limits or attempt to disrupt availability

We reserve the right to suspend or terminate accounts that violate these rules, with or without notice depending on severity.

You retain all rights to the information you put into Riceball, including customer records, messages, and bookings ("Your Content"). You grant Riceball a limited licence to host, transmit, and process Your Content solely as needed to provide the service.

You confirm that you have the right to send messages to the contacts you connect to Riceball, and that you have obtained any consents required under PDPA or other applicable law.

Riceball uses third-party AI models to draft replies on your behalf. AI output may sometimes be inaccurate, inappropriate, or off-tone. You can disable AI replies at any time, override them, or take over a conversation manually. You — not Riceball — are responsible for messages sent from your WhatsApp number, including AI-generated ones you have not reviewed.

We provide controls (auto-reply on/off, after-hours mode, manual override, etc.) to help you supervise the AI. We expect you to use these controls in line with how customer-facing your business is.

We aim for high availability but do not guarantee uninterrupted service. WhatsApp delivery depends on Meta's infrastructure, which is outside our control. We will give reasonable notice for planned maintenance.

You can cancel your account at any time from the dashboard.

We can suspend or terminate your account if you breach these terms, if your payment fails, or if your use creates a legal or security risk. On termination, you can export your data for up to 30 days, after which we will delete it (subject to legal retention).

Riceball is provided "as is." To the maximum extent permitted by Singapore law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee any specific business outcome, revenue increase, or customer-response rate from using the service.

To the maximum extent permitted by law, Riceball's total liability for any claim arising out of or relating to these terms or the service is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, or consequential damages, including lost profits or lost business opportunities, even if we have been advised of the possibility.

Nothing in these terms limits liability that cannot be limited under Singapore law.

You agree to indemnify Riceball against claims arising from (a) messages sent through your account, (b) Your Content, or (c) your breach of these terms or applicable law.

We may update these terms as the service evolves. Material changes will be communicated via email and a dashboard notice at least 14 days before they take effect. Continued use after the effective date means you accept the changes.

These terms are governed by the laws of Singapore. Any dispute is subject to the exclusive jurisdiction of the Singapore courts.
